Thank you for joining the SleepPRO™ Affiliate Program.
By applying to or participating in the SleepPRO™ Affiliate Program, you agree to this Affiliate Agreement ("Agreement"). This Agreement is between you ("Affiliate", "you") and Chasing Excellence LLC, the company that owns and operates SleepPRO™ ("we", "us"). If you do not agree to these terms, do not apply to or participate in the program.

To participate in the SleepPRO™ Affiliate Program, you must meet all of the following criteria:
The program is not open to the general public. Only current or previous SleepPRO™ members are eligible to apply. Chasing Excellence LLC reserves the right to approve or decline any affiliate application at its sole discretion, and to remove any affiliate from the program at any time.
You may not use your own affiliate link to sign up for SleepPRO™ or to refer yourself. Self-referrals are invalid and will not be compensated.
You and Chasing Excellence LLC are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment relationship, agency, or franchise between the parties.
You have no authority to make any commitments, representations, or warranties on behalf of Chasing Excellence LLC or SleepPRO™. You may not represent yourself as an employee, representative, or official partner of Chasing Excellence LLC.
This Agreement is non-exclusive. Chasing Excellence LLC may operate other affiliate programs or work with other affiliates. You may also promote other products and services, provided doing so does not violate the terms of this Agreement.
Once accepted into the program, you will receive a unique affiliate tracking link via the SleepPRO™ affiliate dashboard. You share this link through your own channels, including your website, email list, and social media. When someone clicks your link and subscribes to SleepPRO™, that referral is attributed to you.
Tracking is handled on a last-click basis. This means that if a lead clicks your affiliate link and later clicks another affiliate's link before subscribing, attribution goes to the last link clicked. Chasing Excellence LLC does not control the tracking technology and cannot manually override attribution decisions made by the system.
A referral is only valid if the lead is a new SleepPRO™ subscriber who has not previously held an account. Referrals of existing or former members are not eligible for commission.
Affiliate tracking links are valid for one year from the date of the lead's first click. If a lead does not subscribe within that window, the referral expires and no commission is owed even if they subscribe at a later date.
Approved affiliates earn a 20% recurring commission on each monthly or annual subscription payment made by a member they referred, for as long as that member remains an active, paying SleepPRO™ subscriber.
Commissions are recurring. You earn 20% on every payment your referred member makes, not just the first one. If a referred member stays subscribed for 12 months, you earn commission on all 12 payments.
Your commission on a referred member stops when that member cancels their subscription, their payment fails and is not resolved, or their account is terminated for any reason. Chasing Excellence LLC does not pay commission on periods after the member's access ends.
For annual subscribers, commission is calculated on the total annual payment and paid as a single amount following the holding period described in section 06.
Chasing Excellence LLC reserves the right to change the commission rate at any time. You will be given at least 30 days' notice before any change takes effect. The new rate will apply to new referrals made after the effective date. Existing referred members will continue to be paid at the rate in effect at the time of their referral for a reasonable transition period, after which the new rate applies.
Commission is calculated on the net subscription amount, excluding taxes, transaction fees, and any discounts applied at the time of purchase.
All affiliate tracking is managed through sleeppro.io's affiliate system. It is your responsibility to ensure your affiliate link is correctly formatted and functioning before promoting it. Chasing Excellence LLC is not responsible for commissions lost due to incorrectly shared, broken, or expired links.
Commission will not be paid on transactions where tracking cannot be verified. Chasing Excellence LLC does not offer manual attribution or retroactive commission payments for sales that were not tracked through the affiliate system.
You can monitor your referrals, clicks, and commissions in real time through your affiliate dashboard.
Commissions are processed monthly. Each commission enters a 30-day holding period from the date of the referred transaction to allow for potential refund requests or payment disputes. After the holding period, eligible commissions are released for payment.
There is no minimum payout threshold. All eligible commissions are paid in full each cycle.
Payments are made via the payment method connected to your affiliate dashboard. You are responsible for keeping your payment details accurate and up to date. Chasing Excellence LLC is not responsible for failed payments resulting from incorrect or outdated payment information.
All commissions are paid in USD. You are responsible for any currency conversion fees, bank fees, or taxes applicable to your commission payments. Chasing Excellence LLC will not gross up payments to cover these costs.
You are solely responsible for reporting and paying any income taxes applicable to commissions you receive. Chasing Excellence LLC does not provide tax advice. If required by law, Chasing Excellence LLC may request that you provide tax documentation before commissions are released.
You agree not to engage in any of the following:
Violation of any of the above may result in immediate removal from the program, forfeiture of unpaid commissions, and potential legal action.
Chasing Excellence LLC may provide you with approved brand assets, including logos, images, and copy, for use in your affiliate promotions. You may use these assets only in connection with the SleepPRO™ Affiliate Program and only in their approved form.
You may not alter, distort, or combine brand assets with other imagery in a way that misrepresents SleepPRO™. You may not use the SleepPRO™ name, logo, or trademarks in any domain name, social media handle, email address, or paid advertising without prior written consent.
All promotional content you create must accurately represent SleepPRO™. Chasing Excellence LLC reserves the right to request that you remove or amend any promotional material that it considers misleading, inaccurate, or harmful to the brand. You agree to comply with any such request promptly.
You are required to clearly disclose your affiliate relationship with SleepPRO™ in all promotional content where your affiliate link appears. This applies to social media posts, blog articles, emails, videos, and any other medium.
Disclosure must be clear, conspicuous, and placed where your audience will see it before clicking your affiliate link. Examples of acceptable disclosure language:
You are solely responsible for compliance with the FTC Endorsement Guides and any equivalent advertising disclosure laws in your jurisdiction. Chasing Excellence LLC is not liable for any regulatory issues arising from your failure to disclose.
Either party may terminate this Agreement at any time by providing written notice to the other. You can notify us at support@sleeppro.io. We will notify you at the email address on file in your affiliate account.
Chasing Excellence LLC may terminate your participation in the program immediately and without notice if you:
Upon termination, your affiliate link is deactivated and you are no longer eligible to earn new commissions. Any commissions that have already passed the 30-day holding period and are eligible for payment will be paid on the next scheduled payment date. Commissions still within the holding period at the time of termination for cause may be forfeited at Chasing Excellence LLC's discretion.
Termination of this Agreement does not affect any obligations that arose before the termination date.
Chasing Excellence LLC is not liable for any indirect, incidental, special, or consequential damages arising from your participation in the affiliate program, including but not limited to lost commission income, loss of business, or reputational harm.
Chasing Excellence LLC's total liability to you under this Agreement shall not exceed the total commissions paid to you in the three months immediately preceding the claim.
You agree to indemnify, defend, and hold harmless Chasing Excellence LLC, its founder, employees, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:
This Agreement is governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
You consent to the exclusive jurisdiction of the courts located in Sheridan, Wyoming, for the resolution of any disputes arising from or related to this Agreement.
If a dispute arises, both parties agree to first attempt to resolve it informally by contacting support@sleeppro.io. If the dispute is not resolved within 30 days, either party may pursue formal proceedings.
Chasing Excellence LLC reserves the right to modify this Agreement at any time. When changes are made, we will update the "Last updated" date at the top of this page. If changes are material, we will notify you by email before they take effect.
Your continued participation in the affiliate program after updated terms are posted constitutes your acceptance of the revised Agreement. If you do not agree to the updated terms, you must notify us that you wish to terminate your participation.
